General terms and conditions of sale (e-commerce)

These general terms and conditions of sale are entered into, on the one hand, by the company VED-DISTRI SASU (VED-Distri.com par Eric DAUB), whose registered office is at 10 rue de la Montée, 68590 Saint-Hippolyte, France, registered with the Colmar Trade and Companies Register under number 995 070 984, hereinafter referred to as "the Seller", and, on the other hand, by any natural person wishing to make a purchase via the website www.ved-distri.com, hereinafter referred to as "the Customer". The terms and conditions must be provided to the consumer before the contract is concluded and must remain easily accessible online.

Article 1 - Purpose

These general terms and conditions of sale define the contractual relationship between the Seller and the Customer, as well as the conditions applicable to any purchase made on the website www.ved-distri.com. The purchase of a product through this website implies the Customer's unreserved acceptance of these general terms and conditions of sale, which the Customer acknowledges having read before placing the order.

The Seller reserves the right to amend these general terms and conditions of sale at any time in order to comply with any new regulations or to improve the use of the website. The applicable conditions shall be those in force on the date the Customer places the order.

Article 2 - Products

The products offered are those listed on the website www.ved-distri.com, while stocks last. The Seller reserves the right to change the range of products offered for sale at any time.

Each product is presented with a description setting out its main technical characteristics. The photographs are as faithful as possible but are in no way binding on the Seller.

The products presented on the website are intended for sale to buyers residing in countries that fully authorise the import of these products into their territory.

Article 3 - Prices

The prices shown on the product pages of the online catalogue are expressed in euros, all taxes included, and take into account the VAT applicable on the day of the order. Any change in the VAT rate may be reflected in the price of the products.

The Seller reserves the right to change its prices at any time. However, the price shown in the catalogue on the day of the order shall be the only price applicable to the Customer.

The prices shown do not include delivery costs, which are charged in addition to the price of the products purchased. Delivery costs are shown to the Customer before the order is finally confirmed.

Article 4 - Orders and payment terms

Before placing an order, the Customer must create an account on the website www.ved-distri.com or follow the online ordering procedure provided. On each visit, if the Customer wishes to place an order or consult their account, they must log in using the information provided when creating the account.

The Seller allows the Customer to order and pay for products in a single payment step available at the time of ordering, through PayPal, which manages and secures the payment (PayPal account or bank card where PayPal offers it).

The Customer selects the products they wish to order, checks the delivery address or enters a new one, and is then shown the total amount of the order, including shipping costs. The Customer checks all the information, reads and accepts these general terms and conditions of sale by ticking the corresponding box, and then finally confirms the order.

Confirmation of the order constitutes acceptance of these terms and conditions of sale, acknowledgement of full knowledge of them and waiver of the Customer's own purchasing conditions. All the data provided and the recorded confirmation shall constitute proof of the transaction.

If the Customer has an email address and has entered it on the order form, the Seller will send the Customer confirmation of the order by email.

Payment is due immediately. If payment is refused by the banks or payment service providers, the order will be cancelled automatically.

Article 5 - Retention of title

The Seller retains full ownership of the products sold until the price, including principal, costs and taxes, has been paid in full.

Article 6 - Right of withdrawal and return of goods

In accordance with Articles L221-18 et seq. of the French Consumer Code, the Customer has fourteen calendar days from receipt of the order to exercise the right of withdrawal, without having to give reasons or bear any costs other than the cost of returning the goods, unless the Seller indicates otherwise.

To exercise the right of withdrawal, the Customer must notify the Seller of the decision by means of an unambiguous statement, by post to VED-DISTRI – Eric DAUB, 10 rue de la Montée, 68590 Saint-Hippolyte, France, or by email to the customer service contact address.

The Customer then has fourteen days from notification of the decision to withdraw to return the product at their own expense. Products must be returned complete, in their original condition, with all accessories, instructions and packaging.

The Customer is liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and proper functioning of the product.

Reimbursement is made via PayPal within a maximum of fourteen days of recovery of the goods. In practice, once the products have been received and checked as complete and intact, the Seller refunds the Customer within 24 hours.

Article 7 - Exceptions to the right of withdrawal

The right of withdrawal cannot be exercised for contracts provided for by law, in particular for goods made to the Customer's specifications or clearly personalised, goods liable to deteriorate or expire rapidly, sealed goods which are not suitable for return for health protection or hygiene reasons once unsealed, and in the other cases excluded by law.

Where one of these cases applies, the corresponding information is shown on the product page or at the time of ordering.

Article 8 - Delivery

Deliveries are made to the address given on the order form, which must be located within the geographical area served by the website. Orders are shipped by the carrier indicated at the time of ordering, with parcel tracking.

Delivery times are given for information only. Unless otherwise specified, the Seller will deliver the goods no later than thirty days after the conclusion of the contract.

If delivery exceeds the announced time or, failing that, the legal period of thirty days, the Customer may give the Seller formal notice to deliver within a reasonable additional period. If delivery is not made within this new period, the Customer may terminate the contract under the conditions provided for by law and obtain a refund of the sums paid.

The risk of loss of or damage to the goods remains with the Seller until the Customer, or a third party designated by the Customer, takes possession of the goods, or until the goods are placed in the Customer's letterbox or any other location able to receive the parcel. The Customer is responsible for securing the area where the order is to be left.

The Customer must check the condition of the parcel and the product on receipt. In the event of damage or missing items, the Customer must make the appropriate reservations with the carrier and inform the Seller as soon as possible.

For any delivery outside France, all customs duties, import taxes, local VAT, customs clearance fees, carrier handling fees and, more generally, any charge or tax applicable in the country of destination shall be borne entirely and exclusively by the Customer.

Article 9 - Legal guarantee of conformity and hidden defects

All products supplied by the Seller benefit from the legal guarantee of conformity provided for in Articles L217-3 et seq. of the French Consumer Code, and from the guarantee against hidden defects provided for in Articles 1641 et seq. of the French Civil Code.

In the event of a lack of conformity, the Customer may request that the goods be brought into conformity by repair or replacement. If this is not possible or cannot be done under the conditions provided for by law, the Customer may obtain a price reduction or the cancellation of the sale.

Independently of the legal guarantee of conformity, the Customer may also take action under the guarantee against hidden defects under the conditions provided for by law.

Article 10 - Liability

In the distance selling process, the Seller is bound only by an obligation of means. The Seller cannot be held liable for any damage resulting from the use of the Internet, such as loss of data, intrusion, viruses, service interruption or other problems.

The Seller cannot be held liable in the event of misuse of the product, use not in accordance with its intended purpose, faulty installation, insufficient maintenance or damage resulting from a cause external to the product.

Article 11 - Intellectual property

All elements of the website www.ved-distri.com are and remain the exclusive intellectual property of the Seller. No one is authorised to reproduce, exploit or use, in any capacity whatsoever, even partially, any elements of the website, whether in the form of photos, logos, visuals or text, without prior written authorisation.

Article 12 - Personal data

The Seller undertakes to preserve the confidentiality of the information provided by the Customer and to process it in accordance with the General Data Protection Regulation and applicable French law.

The information collected is necessary for managing orders, delivery, invoicing, after-sales service and, where applicable, for sending commercial information if the Customer has consented to this. The Customer has the right to access, rectify, erase, restrict, object to and port the data concerning them.

Any request relating to personal data may be sent to the postal address of the registered office or to the customer service email address.

Article 13 - Consumer mediation

In accordance with the provisions of the French Consumer Code, the Customer has the right to use a consumer mediator free of charge with a view to the amicable resolution of a dispute with the Seller.

The mediator competent for the Seller is: the Médiateur du e-commerce de la FEVAD (French e-commerce and distance selling federation), 60 rue La Boétie, 75008 Paris, France – www.mediateurfevad.fr. The Customer is invited to refer the matter to this mediator after first sending a written complaint to customer service and in the absence of a satisfactory response.

Article 14 - Applicable law and disputes

These general terms and conditions of sale are governed by French law. In the event of a dispute, the Customer is invited first to seek an amicable solution with the Seller and then, where applicable, to refer the matter to the competent consumer mediator. Competent court: Tribunal de Colmar, 68000, France.

The rules of jurisdiction applicable to consumers apply in accordance with the law in force.

Article 15 - Online withdrawal

Where the order is concluded electronically, the Customer may exercise the right of withdrawal using the online function made available on the website, where offered, in accordance with the obligations applicable to electronic commerce.

Article 17 - Final provisions

If any of the provisions of these general terms and conditions of sale is declared null and void, the other provisions shall remain applicable. The fact that the Seller does not at any given time invoke any of the clauses of these terms and conditions shall not constitute a waiver of the right to invoke it subsequently.
